Constitution

This is the Constitution of Bingley Belles Cycling Club agreed on 9 October 2018.

Amended at a committee meeting on:

  • 7 January 2020 to incorporate rules relating to the election of committee members.
  1. The group will be called: Bingley Belles Cycling Club
  2. The purpose of the group is to promote women’s cycling in the Bingley and surrounding areas.
  3. The group will be administered by a Committee consisting of at least three individuals acting as:
    • Chair
    • Secretary
    • Treasurer
  4. Membership of the group shall be open to any woman interested in cycling on application regardless of age, disability, ethnicity, nationality, sexual orientation, religion or other beliefs. However, limitation of membership according to available facilities is allowable on a non-discriminatory basis.
  5. Members will pay an annual subscription, which will be determined at its AGM.
  6. Bingley Belles Members are expected to be welcoming to any new attendees, showing respect, kindness and tolerance to each other. Discrimination in any form will not be accepted. If it is felt that a member had not behaved according to the club’s expectations, committee representatives would meet with the member to discuss and resolve. Ultimately if it was felt that the member’s behaviour had or would continue to contravene the ethos of the club, membership could be revoked. The committee’s decision on such matters will be final.
  7. The Committee will hold meetings bi-annually.
  8. The Committee will hold an Annual General Meeting once in every calendar year, which will be open to all members of the group.
  9. All members of the group may be permitted to submit a motion to the AGM in writing at least 21 days in advance.
  10.  At each AGM, members will elect a new Committee.
  11. Once elected each committee member can stand for a period of four years before standing down or representing themselves for election of a further term of office.
  12. There will be no more than nine members on the committee in any one year
  13. Any member may stand for election to the Committee, including role of chair, treasurer, social secretary and secretary.
  14. Any member wanting to stand for election on the committee must submit their intention to stand via the Bingley Belles email to the current committee, two weeks before the AGM, including if they wish to stand for a specific role.
  15. Committee members may perform more than one role, with the exception of Chair, Secretary and Treasurer who must be separate individuals.
  16. If there are more then nine members wishing to stand on the committee a paper vote will be undertaken.
  17. All fully paid-up members of the group may vote at any General Meeting. Members must attend in person to vote and may not appoint a proxy.
  18. The quorum for all general meetings is 3 members present.
  19. Special General Meetings of the group may be held if a written request is received by the Secretary at least 21 days in advance.
  20. Accounts will be produced by the Treasurer for scrutiny by the Committee at least once a year. These will be seconded before presentation by a group member, not on the committee.
  21. The property and funds of the group cannot be used for the direct or indirect private benefit of members.
  22. The Committee may wind up the group if it is deemed appropriate due to lack of sufficient members to be viable and/or there are insufficient funds to run the group effectively.
  23. On dissolution, after settling all liabilities of the Club, all assets of the group will be
    • handed to another Club with similar purposes, or
    • be donated to the Club’s national governing body for use by them for related community sports.
